Private Label Policy

1. Scope

This Private Label Policy ("Policy") is between PerqIQ LLC, doing business as PerqIQ ("PerqIQ," "we," "us"), and the Customer that buys the private label option. It applies only if your Order includes that option. It supplements the Subscription Agreement and Terms of Service. If they conflict, those documents control unless this Policy expressly says otherwise.

2. Private label

If your Order includes private label, you may offer the Services to your own clients under your own name and branding, through your own domain, and through sub-accounts you create for your branded service.

3. Ownership

You own your trademarks, trade names, trade dress and logos. We own the Services and all related intellectual property. All rights not expressly granted are reserved.

4. Privacy

The branded service is subject to our Privacy Policy. Because you operate the branded service, you are responsible for how personal information is collected, used and disclosed through it, and for giving your own clients a privacy policy that matches ours in all material respects.

5. Indemnification

You will defend and indemnify PerqIQ, its owners and personnel against third-party claims, including reasonable attorneys' fees, that personal information was improperly disclosed or used through the branded service. The branded service is a Customer-Controlled Matter under the Subscription Agreement.

6. Fees and payment

You set your own prices and currencies and process your clients' payments through your own payment processor account. PerqIQ uses Stripe, Inc. for its own payment processing. You pay PerqIQ the share of the revenue your branded service generates, as set out in your Order and plan. Unless your Order says otherwise, payment is due in US dollars on the last day of each month for the previous month's revenue.

7. Suspension

We may suspend or end the Services or your access, including for unintentional violations, when we need to in order to comply with law or to protect our rights, safety, privacy, security or property, or those of others.

8. Changes to this Policy

We may revise this Policy by posting an updated version at perqiq.com/private-label-policy with a new effective date. Continued use after the effective date means you accept the update.
